Position: Legal Assistant – Corporate Services

Location: Downtown Toronto (Onsite for training, Up to 4 Days/week onsite hybrid after)
Employment Type: Full-time

About Us:
Our Client is a well-established, full-service legal firm located in the heart of downtown Toronto with over 100 lawyers that embrace DEI. They are adding a Legal Assistant to join our Corporate Services team, supporting our Corporate Law Clerks.


Key Responsibilities:

  • Manage the distribution, receipt, filing, and organization of documents, ensuring accurate updates to databases and corporate records.
  • Generate share certificates and input corporate entities into the company database, assigning minute book numbers.
  • Coordinate the closing of corporate records and send out letters and receipts to clients.
  • Update registers for directors, officers, and shareholders, using corporate databases to merge records as needed.
  • Draft client reports (e.g., for incorporations, and name changes) and assemble supporting documents for submission.
  • Prepare basic resolutions for directors and shareholders, such as changes to officer titles or registered office addresses.
  • Request corporate profile reports, complete filings through Cyberbahn, and assist with electronic submissions.
  • Work on special projects, including the creation of organizational charts and officer/director summaries by reviewing minute books.
  • Monitor key dates and ensure follow-up on corporate deadlines.
  • File minute book documents and maintain both digital and physical records.

What We’re Looking For:

  • A minimum of two years of experience in corporate law; knowledge of CorpLink is an advantage.
  • Exceptional attention to detail, organizational skills, and the ability to manage multiple tasks efficiently.
  • Strong interpersonal skills, with the ability to communicate effectively within a team environment.
  • Proficiency in Microsoft Office Suite.
  • Ability to thrive in a fast-paced setting with high document volumes.
  • A collaborative attitude, with a willingness to learn and adapt.
  • Completion of a Legal Assistant diploma, Paralegal diploma, or Law Clerk Certification
